Terms of Service

By subscribing to a service plan with Wilcom LTD ("the Agency"), you ("the Client") agree to the following terms.

1. The Service (Website as a Service)

The Agency provides a managed website solution, including hosting, security, and content updates. This is a subscription-based model, not a one-time purchase of code.

2. Minimum Commitment (The £0 Setup Rule)

To offset the initial engineering and design costs provided at £0 upfront:

• Plan B (£150/mo): Requires a minimum commitment of 12 months.
• Plan A (£500 setup + £100/mo): Has no minimum commitment and may be cancelled with 30 days' notice.

3. Payment & Subscription

• Payments are processed monthly in advance via Stripe.
• Failed payments: If a payment is not resolved within 7 days, the Agency reserves the right to suspend the Client’s website until the balance is cleared.

4. Intellectual Property

• The Platform: The Agency retains all rights to the underlying "Master Template" code, engineering architecture, and proprietary software.
• The Content: The Client retains all rights to their logo, specific business copy, and project photos provided during onboarding.
• Portability: Upon cancellation, the Client may request their business data (text and images). The Agency’s proprietary code and "Smart Wizards" cannot be transferred to other hosting providers.

5. Concierge Updates

"Unlimited Updates" covers changes to existing text, photos, and minor layout adjustments. It does not include building entirely new custom features or secondary websites.

6. Liability

The Agency utilizes enterprise-grade hosting; however, we are not liable for any loss of business due to temporary service interruptions or domain-related issues outside our direct control.

7. Cancellation

Cancellations must be submitted via the Client Portal or email 30 days prior to the next billing cycle. If the Client cancels Plan B before the 12-month minimum, the remaining balance of the contract becomes due immediately.
